- DIGITAL PRODUCT - NO REFUNDS: Once payment is confirmed and download access is activated, the acquired MarketBrief is a digital product of immediate and irrevocable delivery. No return, cancellation or refund shall be processed under any circumstances, except for the cases expressly stated in Article 6 of these Terms.
- LICENSE OF USE NOT A TRANSFER OF OWNERSHIP: The purchase of a MarketBrief grants the Buyer a non-exclusive, personal license of use only. All data, methodology, results, analyses, texts and information contained in the report are and shall remain the exclusive property of Gladius S.A.S. de C.V.
- EXPLORATORY SCOPE NOT STATISTICALLY CONCLUSIVE: MarketBriefs are exploratory market snapshots based on a sample of $n=300$ field interviews. They do not constitute statistically conclusive studies and must not be used as the sole basis for high-impact investment decisions. The Buyer assumes full and exclusive responsibility for any decisions made.
- GLADIUS DATA RIGHTS RESERVATION: Primary data, results and content produced by GLADIUS may be used, repackaged and commercially exploited by Gladius S.A.S. de C.V. at its sole discretion. The Buyer acquires no exclusivity over the data or results of any study.

ARTICLE 1. IDENTIFICATION OF THE PARTIES
This adhesion contract (hereinafter << the Terms >> or << the Agreement >>) is entered into between:

BUYER
Any natural or legal person who accesses the gladius.app platform and completes a purchase transaction for one or more MarketBriefs. Hereinafter referred to as << the Buyer >> or << the Licensee >>.
NOTE: For purposes of the Consumer Protection Law of El Salvador (LPC), the Buyer may be either an individual end consumer or a company or professional acquiring the product for commercial or business use.
Acceptance of these Terms through the click-to-accept mechanism enabled on the platform constitutes full, free and informed consent, with the same legal effect as a handwritten signature, in accordance with the Electronic Commerce Law of El Salvador and Article 21-A of the Consumer Protection Law.
ARTICLE 2. PRODUCT DESCRIPTION - GLADIUS MARKETBRIEF
GLADIUS commercializes digital market intelligence studies called << MarketBriefs >>, available in two formats:

ARTICLE 3. NATURE, SCOPE AND LIMITATIONS OF THE PRODUCT
3.1 Nature of the MarketBrief
GLADIUS MarketBriefs are exploratory and orientative market intelligence studies. They constitute a snapshot of brand standing and consumer preferences in a specific product or service category and market at the time of data collection, based on a sample of $n=300$ primary field interviews per study.
SCOPE AND STATISTICAL LIMITATION - READ CAREFULLY
MarketBriefs are NOT statistically conclusive or exhaustive studies. A sample of $n=300$ produces an exploratory and orientative market snapshot with a reference confidence level, but does NOT provide absolute statistical certainty about the actual composition of the market.
Results represent an indicative approximation of the state of the category during the collection period. Market dynamics, consumer preferences and brand positions change over time.
For high-impact investment decisions, large-scale market expansion, or strategic analyses requiring higher statistical precision, it is recommended to complement with studies of larger sample size and deeper methodological scope.
The Buyer declares understanding and accepting these limitations, and assumes full responsibility for any business, commercial or investment decision made on the basis of a GLADIUS MarketBrief.
3.2 Permitted Use
The Buyer may use the acquired MarketBrief to:
- Guide internal strategic decisions within their company or organization.
- Incorporate findings as reference in internal presentations, reports or analyses, citing GLADIUS as the source.
- Use it as a complementary input in market evaluation processes, due diligence or commercial planning, always acknowledging the exploratory and non-conclusive nature of the study.
3.3 Expressly Prohibited Uses
The Buyer may NOT, under any circumstance:
- Reproduce, copy, distribute, publish, resell, sublicense or transfer in whole or in part the content of the MarketBrief to third parties, for consideration or free of charge, without prior written authorization from GLADIUS.
- Present the results of the MarketBrief as a statistically conclusive, definitive or fully representative study of the market, without including the exploratory scope disclaimer.
- Remove, alter, conceal or modify any intellectual property notices, authorship credits or GLADIUS trademarks contained in the document.
- Use the content of the MarketBrief to build, train or feed databases, artificial intelligence models, algorithms or automated systems of any kind.
- Attribute to GLADIUS statements, conclusions or recommendations not expressly contained in the acquired document.
ARTICLE 4. INTELLECTUAL PROPERTY AND GLADIUS RIGHTS RESERVATION
4.1 Exclusive Ownership by GLADIUS
All elements comprising a GLADIUS MarketBrief are and shall remain the exclusive and irrevocable property of Gladius S.A.S. de C.V., including without limitation:
- Primary data collected through field surveys ($n=300$ per study), including raw data, tabulations, frequency distributions and cross-variable analyses.
- The research methodology, questionnaire design, variable schema and analytical criteria developed by GLADIUS.
- The processed results, indices, rankings and brand intelligence metrics (Top of Mind, Brand Awareness, Preferred Brand, KSAs, and all Extended 300 variables).
- The analyses, interpretations, narratives, conclusions and recommendations contained in the report.
- The Market Size Indicators analysis (market size estimation using foreign trade and local production data) and the Opportunities & Barriers of Entry section, generated via artificial intelligence as an exclusive component of the Extended 300.
- The graphic design, layout, interactive dashboards, iconography, typography and visual elements of the document.
- The GLADIUS brand, trade name, logo and all distinctive signs associated with the platform.
4.2 GLADIUS Rights Reservation Over Data and Results
RIGHTS RESERVATION - CLAUSE OF SPECIAL IMPORTANCE
Gladius S.A.S. de C.V. expressly reserves the full, exclusive and irrevocable right to use, reuse, repackage, combine, publish, license, sell and resell the primary data, results, analyses and any content produced in the framework of its market studies, to any natural or legal person, at any time, in any format and at the prices and conditions that GLADIUS determines at its sole discretion.
This reservation applies regardless of whether the Buyer was the first to purchase a given study. The Buyer acquires no exclusivity whatsoever over the data or the results of the study.
GLADIUS may use the data in aggregated form, disaggregated form, in new products, composite reports, updates, regional benchmarks, or in any other form it deems appropriate.
The purchase of a MarketBrief confers on the Buyer no right of exclusivity, preference, first option, or any limitation whatsoever on GLADIUS's right to commercialize the same data and results.
4.3 License Granted to the Buyer
The purchase of a MarketBrief grants the Buyer a license of use that is:
- Non-exclusive: GLADIUS may sell the same study to any other buyer simultaneously.
- Non-transferable: the Buyer may not assign, sublicense or transfer this license to third parties.
- Personal and internal: limited to use within the Buyer's organization.
- Without rights over the underlying data: the Buyer receives access to the final report, not to the raw data.
- Indefinite in time for permitted internal use, subject to the restrictions of Article 3.3.
ARTICLE 5. PRICE, PAYMENT AND TRANSACTION PROCESSING
Prices published on gladius.app are those in effect at the time of the transaction and include all applicable taxes.
GLADIUS reserves the right to modify its prices without prior notice, without affecting transactions already completed.
Payment is processed exclusively through the Wompi payment gateway, operated by Banco Agrícola, S.A., via credit or debit card (Visa, Mastercard and enabled networks). GLADIUS does not store card payment data on its servers. The processing, security and custody of the Buyer's financial data are the exclusive responsibility of Wompi/Banco Agrícola.
Once payment is confirmed, the Buyer will receive immediate access to the acquired MarketBrief via a download link. Transaction confirmation will be sent to the email address provided by the Buyer, in accordance with Article 21 of the Electronic Commerce Law of El Salvador.
GLADIUS will issue the corresponding electronic tax receipt (CCF or consumer invoice) within the legally applicable period, in accordance with Salvadoran tax legislation.
ARTICLE 6. REFUND POLICY AND RIGHT OF WITHDRAWAL
6.1 General Rule: No Refund on Immediately Delivered Digital Products
In accordance with the exceptions to the right of withdrawal recognized by international electronic commerce practice for digital products of immediate delivery, and given that access to the MarketBrief is activated instantaneously upon payment confirmation, the Buyer expressly accepts that:
- No return or refund shall be processed once access to the MarketBrief has been activated and the download link has been generated or used.
- The Buyer expressly waives the right of withdrawal with respect to immediately delivered digital products, in accordance with the conditions established in Article 13-D of the Consumer Protection Law (LPC) of El Salvador.
- This waiver is voluntary, informed and constitutes a material condition of the purchase agreement, as the Buyer has been clearly and prominently notified prior to payment completion.
6.2 Exceptions: Cases in Which GLADIUS Will Process a Refund
GLADIUS will process a full refund only in the following cases:
- A verifiable technical error on the platform that has completely prevented access to the acquired MarketBrief, and that could not be remedied within 72 business hours.
- Duplicate charge or overcharge above the published price, verified against Wompi records.
- Delivery of a product different from the one purchased (e.g., incorrect category or country report).
- Cases in which applicable Salvadoran law expressly requires a refund under specific circumstances not foreseen in this agreement.
To request a refund in the above cases, the Buyer must send written communication to legal@gladius.app within 48 hours of the transaction, describing the reason and attaching evidence of the error. GLADIUS will respond within a maximum of 5 business days.
On-demand studies (not available in the catalog) may be cancelled with full refund only within the first 24 hours following payment, before GLADIUS has initiated the field collection process. After this period, or once field collection has begun, no refund shall be issued.
ARTICLE 7. PERSONAL DATA PROCESSING
The processing of the Buyer's personal data is governed by the Personal Data Protection Law of El Salvador (Legislative Decree No. 144 of November 2024) and by the GLADIUS Privacy Policy, available at gladius.app/privacy.
GLADIUS collects only the data necessary to process the transaction and deliver the product: name, email address, company (optional), country of origin and payment data processed by Wompi (which GLADIUS does not store directly).
The Buyer's data will not be sold or transferred to third parties for commercial purposes. It may be shared with technology service providers necessary for platform operation (payment processor, email service) under confidentiality agreements.
GLADIUS may use the Buyer's contact data to send communications related to their purchase, catalog updates and GLADIUS news, with the option to unsubscribe at any time.
The Buyer has the right to request access, rectification, deletion or objection to the processing of their personal data by sending a request to legal@gladius.app, in accordance with Legislative Decree No. 144/2024.
ARTICLE 8. BUYER'S REPRESENTATIONS AND WARRANTIES
By accepting these Terms, the Buyer represents and warrants that:
- They are at least 18 years of age and have full legal capacity to enter into binding contracts.
- If acting on behalf of a legal entity (company, organization or entity), they have the necessary powers and authorizations to bind it contractually.
- They have read and fully understood these Terms, including the notices regarding the exploratory nature of the product, the statistical limitations and the GLADIUS rights reservation.
- They understand that they are acquiring a personal, non-exclusive license of use, and that they are not acquiring any ownership over the data, methodology or study results.
- They understand that MarketBriefs are orientative market snapshots, not statistically conclusive studies, and that responsibility for any decisions made on the basis of their content rests fully and exclusively with the Buyer.
- They will use the MarketBrief in accordance with the permitted uses of Article 3.2 and will not engage in any of the prohibited uses of Article 3.3.
ARTICLE 9. LIMITATION OF GLADIUS LIABILITY
9.1 Scope of Liability
GLADIUS warrants that MarketBriefs have been produced with methodological rigor and on the basis of primary data collected through field surveys. However, GLADIUS does not guarantee or assure:
- That the results of the MarketBrief accurately or completely reflect the composition of the relevant market.
- That the brands, positions or preferences indicated in the study have not changed since the data collection date.
- That the results are sufficient, on their own, to support high-impact investment, market expansion or strategic positioning decisions.
- Specific business outcomes derived from use of the MarketBrief.
DISCLAIMER OF LIABILITY FOR BUYER'S DECISIONS
GLADIUS shall not be liable, under any circumstances, for losses, damages, lost profits, loss of opportunity, or any direct or indirect consequences arising from business, commercial or investment decisions made by the Buyer on the basis of the content of a MarketBrief.

The Buyer assumes full and exclusive responsibility for their own decisions. GLADIUS acts as a provider of reference market information, not as a strategic consultant or investment advisor.
GLADIUS's maximum liability to the Buyer, under any cause of action, shall be limited to the amount effectively paid for the specific MarketBrief that originated the claim.
9.2 Force Majeure
GLADIUS shall not be liable for delays or non-performance attributable to force majeure, acts of God, failures of third-party services (including Wompi, hosting providers or digital infrastructure providers), cyberattacks, or any circumstance beyond the reasonable control of GLADIUS.
ARTICLE 10. MODIFICATION OF TERMS AND CATALOG
GLADIUS reserves the right to modify these Terms at any time. Modifications will be published on gladius.app with the effective date indicated. Continued use of the platform or completion of new purchases after the publication of modifications implies acceptance of the updated Terms.
Transactions completed before a modification of Terms are governed by the Terms in effect at the time of purchase.
GLADIUS may modify, update, withdraw or add studies to its catalog at any time, without prior notice or liability to buyers of previous or future studies.
ARTICLE 11. GOVERNING LAW AND JURISDICTION
This agreement is governed in its entirety by the laws of the Republic of El Salvador, in particular:
- The Consumer Protection Law (LPC), especially Articles 13-C, 13-D, 21-A and 21-B regarding electronic commerce.
- The Electronic Commerce Law of El Salvador.
- The Personal Data Protection Law of El Salvador (Legislative Decree No. 144, November 2024).
- The Commercial Code of El Salvador, to the extent applicable.
For the resolution of disputes arising from this agreement, the parties submit to the jurisdiction of the competent courts of the Republic of El Salvador, waiving any other venue or jurisdiction that may correspond to them by reason of their present or future domicile.
The foregoing is without prejudice to the rights of the Buyer recognized under the laws of their country of residence, to the extent that such laws are mandatory and applicable to cross-border transactions with El Salvador.
ARTICLE 12. CONTACT AND NOTIFICATIONS
For any inquiry, claim or notification related to these Terms or a transaction carried out on gladius.app, the Buyer may contact GLADIUS through:
- Email: legal@gladius.app (response within a maximum of 5 business days).
- Contact form available at gladius.app/contact.
GLADIUS will send all notifications to the Buyer at the email address provided during the purchase process. It is the Buyer's responsibility to keep said email active and to check their inbox, including the spam folder.
ACCEPTANCE CLAUSE - CLICK-TO-ACCEPT MECHANISM
This agreement is an adhesion contract entered into by electronic means. By activating the checkbox << I have read and accept the Terms and Conditions of Purchase >> and completing the payment process, the Buyer:
(1) Declares having read and fully understood this document.
(2) Fully accepts all terms, conditions, limitations and reservations set forth herein.
(3) Expressly waives the right of withdrawal with respect to the immediately delivered digital product.
(4) Acknowledges the exploratory and non-conclusive nature of the acquired MarketBrief.
(5) Acknowledges GLADIUS's reservation of rights and commercialization powers over the data and results.
This act of acceptance has full legal validity under the Electronic Commerce Law and the Consumer Protection Law (LPC) of El Salvador.
